TERMS & CONDITIONS

These Terms & Conditions (“Terms”) apply to your (“you”, “your”) access to, use of, and purchases from ACSYTOSIN INTERNATIONAL COMPANY LIMITED, or as applicable its affiliates (“ACSYTOSIN,” “we,” “us,” “our”), through our websites, online stores, applications, and related digital platforms (collectively, the “Platform”).
These Terms incorporate by reference our Shipping & Returns Policy, Refund Policy, Privacy Policy, and any other policies referenced on the Platform (collectively, the “Agreement”).
A. USE OF THE PLATFORM
1. Acceptance of Terms
By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must immediately discontinue use of the Platform.
We may update these Terms from time to time. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms. You are responsible for reviewing the Terms periodically.
2. Eligibility and Age Requirements
The Platform is available only to individuals who can form legally binding contracts under applicable law.
By using the Platform, you represent and warrant that you are at least the age of majority in your jurisdiction, or that you have obtained the consent of a parent or legal guardian who agrees to be bound by these Terms on your behalf.
If you are under the age of majority, your parent or legal guardian is responsible for your use of the Platform, including any purchases made and any obligations arising under these Terms.
If you use the Platform on behalf of an entity, you represent and warrant that you have the authority to bind that entity to these Terms.
3. Permitted Use and Restrictions
The Platform is provided primarily for personal, non-commercial use, except as expressly permitted in these Terms or authorized by us in writing.
You agree not to:
• purchase products for commercial resale or distribution, including bulk purchasing for resale as new goods;
• copy, reproduce, distribute, exploit, or misuse Platform content;
• scrape, crawl, data-mine, or use automated tools to access the Platform;
• interfere with the Platform’s security, servers, or functionality;
• upload malware, malicious code, or harmful data;
• misuse trademarks or proprietary materials;
• violate applicable laws or regulations.
Personal resale of products originally purchased for personal use is permitted.
We reserve the right, in our sole discretion, to determine what constitutes bulk or commercial purchasing. Unauthorized use may result in suspension or termination of access to the Platform.
4. Intellectual Property
All content on the Platform, including but not limited to text, images, graphics, designs, logos, trademarks, product designs, trade dress, and software (collectively, “Content”), is owned by or licensed to ACSYTOSIN and is protected by applicable intellectual property laws.
No rights or licenses are granted except as expressly stated in these Terms. Any unauthorized use of Content may violate intellectual property laws and result in legal action.
5. User Submissions
Any content you submit to the Platform, including reviews, images, videos, comments, or other materials (“User Submissions”), is submitted at your own responsibility.
You grant ACSYTOSIN a perpetual, worldwide, royalty-free, non-exclusive, transferable, and sublicensable license to use, reproduce, display, modify, distribute, and create derivative works from your User Submissions in any media for operational, marketing, promotional, and business purposes, subject to applicable law.
You represent and warrant that you own or have the necessary rights to submit such content and that it does not infringe any third-party rights or violate any law.
6. Disclaimer of Warranties
THE PLATFORM, CONTENT, AND ALL SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACSYTOSIN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACSYTOSIN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM OR PURCHASE OF ANY PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN ALL CASES, ACSYTOSIN’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.
Nothing in these Terms limits liability that cannot be limited under applicable law.
8. Indemnification
You agree to defend, indemnify, and hold harmless ACSYTOSIN, its affiliates, directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
• your use of the Platform;
• your User Submissions;
• your violation of these Terms; or
• your violation of any applicable law or third-party rights.
9. Suspension and Termination
We reserve the right, at our sole discretion and without prior notice, to suspend, restrict, or terminate your access to the Platform if we reasonably believe that you have violated these Terms, engaged in fraudulent or unlawful conduct, or otherwise created risk or harm to ACSYTOSIN, the Platform, or other users.
Termination does not affect rights or obligations that by their nature should survive termination.
10. Third-Party Services and Links
The Platform may contain links to or integrations with third-party websites, services, or tools. ACSYTOSIN does not control and is not responsible for third-party content, products, services, or privacy practices. Your use of third-party services is at your own risk and subject to their terms.
11. Dispute Resolution
Before initiating any legal proceeding, you agree to first contact us and attempt to resolve the dispute informally by emailing customercare@acsytosin.com with a description of the issue.
If the dispute cannot be resolved informally within a reasonable period, either party may pursue formal legal remedies in accordance with these Terms.
Nothing in this section limits either party’s right to seek injunctive or equitable relief where appropriate.
12. Force Majeure
ACSYTOSIN shall not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from events beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, labor disputes, supply chain disruptions, governmental actions, war, terrorism, or failures of utilities or telecommunications networks.
Performance of affected obligations shall be suspended for the duration of such event.
13. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Macau Special Administrative Region, without regard to conflict-of-laws principles.
Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Macau SAR, unless otherwise required by applicable law.
14. Miscellaneous
• Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
• Entire Agreement: These Terms constitute the entire agreement between you and ACSYTOSIN regarding the Platform.
• No Waiver: Failure to enforce any provision is not a waiver of future enforcement.
• Assignment: ACSYTOSIN may assign these Terms without restriction. You may not assign these Terms without our prior written consent.
